Terms of Service

1. Service Description
Markus Rommel ("Provider," "I," "me") offers OpenClaw installation, configuration, and consulting services ("Services") through this website. Services include deploying, hardening, and configuring OpenClaw AI agent instances on client-provided or client-authorized infrastructure.
2. Engagement Process
All engagements begin with a discovery call to assess requirements. Work does not commence until:
- A scope of work has been mutually agreed upon
- A consulting agreement has been signed by both parties
- Payment has been received in full via Stripe invoice
3. Payment Terms
- Full payment is due before work begins. Invoices are issued via Stripe and payable by credit card or ACH bank transfer.
- Pricing tiers (Essentials, Professional, Enterprise) are as listed on the pricing page at the time of invoice.
- Retainer agreements are billed monthly in advance.
- All prices are in USD.
4. Refund Policy
- Before work begins: Full refund available if requested before any infrastructure provisioning or configuration work has started.
- After provisioning starts: No refund, as infrastructure costs are incurred immediately and configuration work is underway. I will complete the agreed scope of work.
- Retainers: The current month's retainer is non-refundable. You may cancel future months with 7 days written notice before the next billing cycle.
5. Client Responsibilities
Clients are responsible for:
- Providing necessary account credentials and API keys as outlined in the onboarding checklist
- Maintaining and paying for their own infrastructure costs (AWS EC2, Anthropic API, Tailscale, etc.)
- Ensuring they have authorization to use the accounts and services involved
- Responding to requests for information in a timely manner
6. What's Not Included
Unless explicitly included in the scope of work, Services do not cover:
- Ongoing infrastructure costs (EC2, API usage, domain registration, etc.)
- Model provider subscription fees (Anthropic, OpenAI, etc.)
- Work outside the agreed scope — additional work is quoted separately
- Support beyond the included support window for the purchased tier
7. Intellectual Property
- Client owns: Their deployed instance, data, custom configurations specific to their use case, and any content generated by their agent.
- Provider retains: Deployment templates, scripts, methodology, and general-purpose tooling used across engagements. These are not transferred to the client.
8. Limitation of Liability
To the maximum extent permitted by law:
- Total liability is limited to the amount paid for the specific engagement.
- Provider is not liable for indirect, incidental, consequential, or punitive damages.
- Provider is not liable for costs incurred by third-party services (AWS charges, API costs, etc.).
- Provider is not liable for actions taken by the deployed AI agent after handoff.
9. Confidentiality
I treat all client credentials, configurations, and business information as confidential. I will not share, sell, or disclose client information to third parties unless required by law.
10. Disclaimer
Services are provided "as is." While I apply industry best practices for security and reliability, I do not guarantee that any AI agent deployment will be free from errors, interruptions, or security vulnerabilities. AI agents can produce unexpected outputs — clients are responsible for monitoring their agent's behavior.
11. Changes to These Terms
I may update these terms from time to time. Changes will be reflected on this page with an updated "Last updated" date. Existing engagements are governed by the terms in effect at the time the consulting agreement was signed.
